WANDR TERMS OF SERVICE (OPEN BETA)
Last updated: 2026-10-16
These Terms of Service ("Terms") are a binding agreement between you (or the company you represent) ("you") and WANDR, Inc., a Delaware corporation ("WANDR," "we," or "us"). They govern your access to and use of the WANDR platform, websites, apps, and in-product agents (the "Service"). By clicking "I agree," creating an account, or using the Service, you agree to these Terms and acknowledge our Privacy Notice. If you accept on behalf of a company, you represent that you have authority to bind that company.
1. Open Beta
The Service is offered as an open beta. Anyone may request an account, either directly or through an invitation from an existing user, and we may accept, limit, or decline any account at our discretion. Because the Service is in beta, features, availability, limits, and data retention may change, and we may modify, suspend, or discontinue any part of the Service at any time. Making a feature available in the beta does not commit us to release or keep that feature, or to any particular pricing. The beta is currently provided free of charge. Before we charge for any plan, we will notify you, and you will need to accept the applicable plan terms and pricing. We will never charge you without your express agreement.
2. Beta Status; Your Responsibility for Decisions
The Service is under active development and may contain errors. Outputs, including recommendations, shortlists, scores, budgets, schedules, and records, are tools to support your judgment, not substitutes for it. You are responsible for reviewing outputs before relying on them and for keeping your own copies of business-critical records. Do not represent to third parties that WANDR is enterprise-certified, or that any specific integration, marketplace, advertising, or "on-air" capability exists, unless we have confirmed it to you in writing for your use case.
3. Confidentiality
(a) WANDR Confidential Information. "WANDR Confidential Information" means non-public information we disclose to you that is marked confidential or that a reasonable person would understand to be confidential. This includes non-public roadmaps, unreleased features shown to you in preview, security information, and non-public pricing offered only to you. You will use WANDR Confidential Information only to use the Service. You will not disclose it to third parties, except to people in your organization who need to know it and who are bound by confidentiality obligations at least as protective as these. The existence of the Service, its publicly available features, and your general experience using it are not confidential.
(b) Other Users' Information. Jobs on WANDR involve multiple parties. Information that other users share with you through the Service, such as briefs, bids, budgets, treatments, cuts, talent and crew details, and Playroom sessions, is their confidential information. You may use it only for the job or purpose it was shared for. You may not disclose it outside that job except as the sharing party permits or the law requires.
(c) Credentials. You are responsible for keeping your login credentials, sign-in codes, and invitation links secure, and for all activity under your account.
(d) Exceptions. These obligations do not apply to information that is or becomes public through no fault of yours, that you already rightfully knew, that you independently developed, or that you rightfully receive from a third party without a duty of confidentiality. You may disclose information if the law requires it, after giving prompt notice to the owner of the information where the law allows.
(e) Duration. These obligations last for three (3) years after your access ends. Trade secrets, and other users' Customer Content, remain protected for as long as they remain confidential.
4. Your Content and Data
(a) Customer Content. "Customer Content" means data, files, job information, and other materials that you or your users upload or submit to the Service. It may include information about productions, vendors, or individuals such as talent or crew. You retain all rights in Customer Content. You grant WANDR a limited license to host, process, transmit, and display Customer Content to provide, secure, support, and improve the Service, as described in our Privacy Notice. You represent that you have all rights, consents, and notices required to upload Customer Content and to allow WANDR to process it under these Terms and our Privacy Notice.
(b) Usage Data. "Usage Data" means information about how the Service is used, such as feature use, workflow steps, settings, preferences, and performance data. WANDR may collect and use Usage Data to operate, secure, and improve the Service, including its in-product agents.
(c) Aggregated Industry Data. WANDR may create aggregated and de-identified data from Customer Content and Usage Data ("Aggregated Data"). Examples include rate and budget benchmarks, brief and RFP volume and seasonality, bid win rates, talent and crew demand, vendor and location trends, production and post throughput, and pricing trends. WANDR owns Aggregated Data and may use, publish, license, and sell it, including to industry analysts. Aggregated Data will not identify you, your company, any individual, or any specific job, brief, or bid, and it will not be reasonably capable of being linked back to them. WANDR will not include data received from connected third-party accounts (such as Google or Meta) in Aggregated Data. Our safeguards are described in the Privacy Notice.
(d) No Generalized Model Training. WANDR does not use Customer Content to train generalized artificial-intelligence models, and does not permit its AI service providers to do so.
5. WANDR Intellectual Property
WANDR and its licensors own all right, title, and interest in the Service, the WANDR platform, software, Industry Graph tooling, Aggregated Data, documentation, branding, and all related intellectual property ("WANDR Materials"). These Terms do not transfer any ownership of WANDR Materials to you. You receive only a limited, revocable, non-exclusive, non-transferable right to access and use the Service while your account is active, subject to these Terms.
6. Feedback
If you provide ideas, suggestions, or feedback about the Service ("Feedback"), you grant WANDR a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and commercialize Feedback without restriction or obligation to you, including no equity, payment, or attribution obligation. Feedback is not confidential to you.
7. Acceptable Use
You will not:
(a) reverse engineer, scrape, or attempt to extract source code or non-public data, except as allowed by law;
(b) probe, overload, or disrupt the Service;
(c) use the Service to build a competing product using non-public WANDR Materials;
(d) upload unlawful, infringing, or harmful content;
(e) share account credentials, or let anyone use your account who is not an authorized user under your plan; or
(f) use the Service in any way that violates applicable law or the rights of others.
7A. Inviting Others
If you use the Service to invite another person, you confirm that you know that person or have a legitimate business reason to contact them, and that sending the invitation does not violate any law or agreement. Invitations may be sent only through the Service's invite feature and only to individual recipients you select. You may not use the invite feature for bulk, purchased, or scraped contact lists. We send the invitation email on your behalf, and it will identify you as the sender. Each invitee must accept these Terms to create an account. You are not responsible for an invitee's use of the Service, but we may limit or remove your invite access if it is misused.
8. As-Is; Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WANDR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST OR CORRUPTED. DURING THE BETA, DATA MAY BE MIGRATED OR RESET, AND WE WILL GIVE REASONABLE NOTICE WHEN PRACTICAL.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WANDR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE. WANDR'S TOTAL LIABILITY ARISING OUT OF THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID WANDR IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
10. Termination
We may suspend or end your access at any time. You may stop using the Service and close your account at any time. On termination, your right to access the Service ends. Sections that by their nature should survive will survive, including confidentiality, content and data, IP, Feedback, disclaimers, and liability limits. After termination we may delete your Customer Content as described in our Privacy Notice, so export anything you need before closing your account.
11. Relationship of the Parties; No Agency
WANDR provides software tools. Nothing in these Terms makes WANDR your agent, employer, marketplace operator, talent agency, payroll provider, or production company, or makes WANDR responsible for your contracts, hiring, payments, or clearances with third parties. WANDR jobs may involve multiple parties, for example an originator, an awarded production company, a post vendor, and distribution or trafficking. WANDR is not the agent of any of those parties or a marketplace between them.
12. Changes; Governing Law
We may update these Terms by posting an updated version. For material changes, we will also notify you by email or in the Service. Continued use after the effective date of an update constitutes acceptance. These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. The state and federal courts in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief anywhere for intellectual-property or confidentiality breaches.
13. Text Messages (SMS)
WANDR sends two kinds of text messages:
1. Sign-in codes: a one-time code when you choose "Text me a code" as your second sign-in step. You opt in on the sign-in screen by entering your mobile number and ticking the box "Yes, I agree to receive sign-in code text messages from WANDR, Inc." Sample: "WANDR code: 123456. It expires in 10 minutes. Do not share it."
2. Hire-request alerts: when someone sends a hire request to your listing, a text to the number you saved on that listing. You opt in on your listing under "Where hire requests reach you" by ticking Text, entering your mobile number, and ticking the box "Yes, I agree to receive hire-request text messages from WANDR, Inc. Message frequency varies. Msg & data rates may apply. Reply STOP to opt out, HELP for help." Sample: "WANDR: New hire request from [Company] for [Listing]. View it at wandrworkflow.studio. Reply STOP to opt out."
Both boxes start unticked; if you do not tick a box, no text of that kind is sent. Message frequency varies. Message and data rates may apply. Consent is not required and is not a condition of any purchase: sign-in codes are also available by email, and hire requests always reach your WANDR inbox and, if you choose, your email.
Reply STOP to any message to opt out; WANDR then stops hire-request texts to that number. Reply HELP for help, or contact support@wandrworkflow.studio. You can also turn text off in your account settings or on your listing. Carriers are not liable for delayed or undelivered messages.
WANDR does not send marketing text messages. See our Privacy Notice for how we handle your mobile number.
13A. Third-Party Services and Connected Accounts
The Service may let you connect third-party services, such as Google, Meta, Stripe, QuickBooks/Intuit, BILL, and cloud storage providers. Your use of a third-party service is governed by that provider's terms and privacy policy, and WANDR is not responsible for third-party services. When you connect an account, you authorize WANDR to access the data and permissions you grant, solely to provide the features you request. You can disconnect at any time in your settings, which stops further access. WANDR's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. WANDR does not sell data obtained through connected accounts, does not use it for advertising, does not include it in Aggregated Data, and does not use it to train AI models.
